This legal disclaimer (the “Disclaimer”) outlines the terms, conditions, and limitations of liability for Subie LLC (“Subie,” “we,” “our,” or “us”). By using the Subie platform, website, and services (collectively, the “Platform”), you agree to this Disclaimer in its entirety.
1. Platform Purpose
Subie is an online platform that facilitates connections between tenants (“Sublessors”) and prospective tenants (“Sublessees”) for subleasing properties. Subie provides tools to draft sublease agreements, manage payments, and communicate between users. However, Subie is not a party to any rental agreements, contracts, or sublease arrangements entered into by users.
2. Limitation of Liability
Subie is not responsible for:
- Ensuring that properties listed on the Platform are authorized by landlords for subleasing.
- Verifying the accuracy, legality, or completeness of property listings.
- Screening or verifying Sublessors or Sublessees beyond the identity verification measures available on the Platform.
- Damages, disputes, or claims arising from the failure of users to comply with their lease agreements, local laws, or terms agreed upon in sublease agreements.
- Any disputes, financial losses, or damages arising from the actions or omissions of Sublessors, Sublessees, or landlords.
Users are solely responsible for ensuring compliance with local laws, lease terms, and landlord policies.
3. Assumption of Landlord Consent
By listing a property on Subie, Sublessors represent and warrant that they have obtained all necessary permissions from their landlords or property managers to sublease the property. Subie assumes that all property listings have the required landlord consent. Subie disclaims all liability related to unauthorized listings, and any legal consequences arising from unauthorized subleases shall be the sole responsibility of the user who created the listing.
4. Sublease Agreements
Subie provides tools and templates to assist users in drafting sublease agreements. However:
- Subie does not provide legal advice and makes no guarantees regarding the enforceability or legality of these agreements.
- Users are encouraged to seek independent legal advice to ensure compliance with local laws and regulations.
- Subie is not a party to any sublease agreements and disclaims all liability for the terms, conditions, and enforcement of these agreements.
5. Payment Processing
Subie facilitates payment processing through a third-party payment processor (e.g., Stripe). Subie:
- Does not hold or manage user funds directly.
- Is not responsible for payment disputes, delays, or errors caused by the payment processor or the actions of Sublessors or Sublessees.
- Assumes no liability for incomplete or disputed payments between users.
6. Compliance with Local Laws
Users are solely responsible for ensuring compliance with applicable federal, state, and local laws regarding subleasing, rental agreements, and property use. Subie disclaims any responsibility for legal violations by users, including but not limited to:
- Unauthorized subleasing.
- Violations of local housing laws or ordinances.
- Misrepresentation of property details in listings.
7. No Endorsement
Subie does not endorse, guarantee, or verify any user, property, or listing on the Platform. Users are advised to conduct their own due diligence before entering into any sublease agreements or financial transactions.
8. Indemnification
By using Subie, you agree to indemnify, defend, and hold harmless Subie LLC, its affiliates, officers, employees, agents, and partners from any claims, losses, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Platform.
- Your failure to obtain necessary landlord approvals.
- Disputes or legal actions related to sublease agreements or property listings.
- Violations of any laws, lease terms, or Subie policies.
9. No Guarantees
Subie makes no guarantees regarding the success of sublease arrangements, the reliability of users, or the availability of properties. Subie disclaims all implied warranties, including but not limited to the warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Arbitration Clause
Any disputes arising out of or relating to this Disclaimer or the use of the Subie Platform shall be resolved exclusively through binding arbitration in the state of Delaware, USA, in accordance with the rules of the American Arbitration Association.
11. Changes to This Disclaimer
Subie reserves the right to update or amend this Disclaimer at any time without prior notice. Continued use of the Platform constitutes acceptance of the updated terms.
12. Governing Law
This Disclaimer shall be governed by and construed in accordance with the laws of the state of Boston (MA), USA.
Acknowledgment of Boston Lead Law Policy
By using our platform, you confirm that you are aware of and comply with the Boston Lead Law, which regulates the presence of lead-based paint in rental properties built before 1978. You understand that landlords and subletters must disclose any known lead hazards and provide the appropriate documentation, such as the Massachusetts Tenant Lead Law Notification Form, to prospective tenants or subletters.
You agree to:
Acknowledge receipt of the required lead disclosure documents if applicable.
Confirm that you will comply with all federal, state, and local regulations related to lead-based paint hazards.
Assume responsibility for ensuring that all legal requirements are met in any subleasing agreement facilitated through our platform.
